I-Cubed Specific Terms & Conditions

  1. DESCRIPTION: The I-Cubed Convertigo Contest (the "Contest") is designed to motivate and reward Participants who develop innovative, creative, functional and/or original mobile applications using Convertigo. Prizes will be awarded to those Participants who submit the best Entries as determined in the sole discretion of the judges (such determination shall be final). No purchase necessary to enter or win.

     

  2. SPONSORS: The Contest is sponsored by Integrated Industrial Information, Inc. (d/b/a I-Cubed) ("I-Cubed"), Convertigo France and Convertigo US (and each of their affiliates, as applicable) (collectively, each of these entities is referred to as a "Sponsor" in these Contest Terms and Conditions).

     

  3. BINDING AGREEMENT: In order to enter the Contest, you must agree to these Contest Terms and Conditions (the "Terms"). All submission instructions and any other specific details relating to the Contest or the prizes are incorporated into the Terms by reference. Please read the Terms prior to entry to ensure you understand and agree. After reading the Terms and in order to participate, each Participant must click the "I understand and agree" box (or the equivalent) on the Contest entry web page. Once the Participant clicks the "I understand and agree" box, the Terms form a binding legal agreement between each of Participant and Sponsor with respect to the Contest and each Entry. Participants may not submit an Entry to the Contest and are not eligible to receive the prizes described in the Terms unless they agree to the Terms.

     

  4. ELIGIBILITY: The Contest is open to individuals and teams of individuals (each individual, each team, and each individual member of a team is referred to as a "Participant" in the Terms) who are currently enrolled as undergraduate or graduate students at NC State University, SKEMA Business School, or Shaw University, who have agreed to the Terms and who are of the legal age of majority, at the time of entry, to form valid contracts in their respective country, province or state of legal residence and meet any applicable U.S., national, state, local, or provincial legal requirements for participation. Employees of (i) I-Cubed, (ii) Convertigo, and members of their immediate families (defined as parents, children, siblings and spouse, regardless of where they reside, and/or those living in the same household of each) are not eligible to participate in the Contest. Sponsor reserves the right to verify eligibility and to adjudicate on any dispute at any time. The Contest is void in, and not open to residents of Cuba, Iran, Syria, North Korea, Sudan, Myanmar, or to individuals and entities restricted by U.S. export control or sanctions, and is void in any other nation, state, or province where the Contest may be prohibited or restricted.

     

  5. CHALLENGE TIMELINE: All Entries must be submitted before the end of the Submission Period. The "Submission Period" ends at 11:59:59 P.M. Eastern Time Zone in the United States on December 30, 2011. First round judging will be open until 11:59:59 P.M. ET on January 5, 2012 at the latest; however, I-Cubed reserves the right, in its sole discretion, to terminate the first round of judging prior to 11:59:59 P.M. ET on January 5, 2012 if it determines that all Entries have been sufficiently judged.

     

  6. REGISTRATION: All Participants must provide certain registration information when submitting an Entry, including but not limited to full name, mailing address, and working email address (collectively, "Registration Information"). Entries will be deemed made by the authorized account holder of the email address submitted at the time of entry, and any Participant may be required to show proof of being the authorized account holder for that email address. The "authorized account holder" is the natural person assigned to an email address by the relevant provider of email services. Individuals and teams of individuals must provide the Registration Information for each and every individual involved with the Entry and every individual who is part of the team must agree to the Terms in the manner specified by Sponsor. All potential prize recipients must verify their identity with Sponsor before any prizes are distributed.

     

  7. SUBMISSION: To qualify for a prize, an "Entry" to the Contest consists of an original application that is written using Convertigo technology (available at the I-Cubed Developer Portal at http://dev.i-cubed.com). The I-Cubed Developer Portal contains instructions, documentation, and all necessary tools to enable a Participant to build an application. Individuals and teams may submit an Entry by visiting the I-Cubed Developer Portal, providing the Registration Information, and uploading their Entry by following the directions found on the website any time before the end of the Submission Period. A Participant may submit more than one Entry.

    1. DISQUALIFICATION: Sponsor may disqualify any Participant, without recourse and in its sole discretion, if it determines that an Entry (or substantially similar application from the same Participant) is the product of substantial development assistance from any Sponsor.
    2. LANGUAGE: Entries must, at a minimum, support English language use, but may also support other languages at the discretion of the Participant.

    3. CONTENT: Any Entry containing sexual, violent, abusive, harassing, offensive, or insulting content may be disqualified. All determinations regarding compliance with these content policies will be made at Sponsor's sole discretion and will be final and binding.

     

  8. JUDGING:

    1. FIRST ROUND JUDGING: After the Submission Period ends, all eligible Entries will be judged by a panel of experts in the fields of mobile devices, cellular telecommunications, software development, and/or technology innovation (the "Expert Judges"). Sponsor will select the Expert Judges from I-Cubed, Convertigo, or from other organizations in the Sponsor(s)' sole discretion. For first round judging, the Expert Judges will consider each Entry under the following equally-weighted judging criteria:
      1. Originality of Concept - Does the application introduce a great new idea?
      2. Effective Use of Convertigo technology - Does the application take advantage of Convertigo's unique and compelling features?
      3. Polish and Appeal - Is the application easy to use and aesthetically appealing?
      4. Indispensability - Is the application compelling and essential, such as a game the user just can't put down or a utility she can't live without?
    2. Using these criteria, the Expert Judges will evaluate each Entry by giving it a score of one (1) to five (5) on each criterion (for a maximum total of 20 points). The ten (10) Entries with the highest scores will be determined to be "Contest Finalists" and will advance to the final round. In the case of a tie, a panel of judges selected by Sponsor will determine the Entries from among those that are tied that will advance to the second round.
    3. SECOND ROUND JUDGING: Second round judging is only for entries selected as Contest Finalists in the first round judging. The same application submitted by these Participants for the first round will be distributed for judging in the second round. There is no opportunity to improve or modify an application between the first and second rounds of judging. All Contest Finalists for second round judging will be judged by Community Judges (defined as anyone who chooses to participate in judging and registers as a Community Judge on the I-Cubed Developer Portal, excluding Participants). Second round judging will be based on the same judging criteria from round 1 described above.

     

  9. SELECTION: The final score for each Contest Finalist Entry will be based on the scores returned by the Expert Judges and the Community Judges. The Community Judges' scores will comprise 40% (forty percent) of the final score. The Expert Judges' scores will comprise 60% (sixty percent) of the final score. The three (3) Entries with the highest composite scores across will be designated as the overall first, second, and third place Entries, and the Participants responsible for these Entries will receive the prizes described below, provided they have complied with the requirements of the Terms. In the case of a tie, the panel of Expert Judges will determine which Entries from among those that are tied will be designated as the overall first, second, or third place Entry. If any Participant selected as a potential prize recipient for a given prize is disqualified for any reason, the next highest-scoring Participant will be designated as the recipient of that prize. All potential prize recipients will be announced on or about January 16, 2012 unless otherwise determined by the Sponsors.
  10.  

  11. PRIZES:
    1. CATEGORY PRIZES: Each Participant with an Entry that moves to second round judging will have the opportunity to interview for an internship with I-Cubed. Participation in an internship interview is not a requirement and will not impact a Participant's eligibility to receive a prize.
    2. OVERALL PRIZES: The Participant with the overall first place entry will receive a cash prize of One Thousand Dollars and 0/100 ($1,000.00); the Participant with the overall second place Entry will receive a cash prize of Five Hundred Dollars and 0/100 ($500.00); and the Participant the overall third place Entry will receive a cash prize of Two Hundred Fifty Dollars and 0/100 ($250.00).
    3. DISTRIBUTION OF PRIZES: Sponsor is not responsible for decisions on the division or distribution of the prizes among or between team members. Instead, decisions on how to distribute or divide any prize among individual team members are the sole responsibility of the participating team (and therefore, the participants shall notify I-Cubed with respect to the foregoing in writing). In the case of teams of individuals, Sponsor will offer two options on how the applicable prize may be awarded: (1) Sponsor will award the entire prize to one member of the team who is identified by each member of the team to receive the prize by being listed as the first member to register and who is then responsible for making any division or distribution of the prize to all members of the team, or (2) Sponsor will distribute an equal share of the prize to each member of the team. All members of a team chosen to potentially receive a prize must agree on either Option #1 or Option #2 as the method of distribution.

     

  12. TAXES: Prize payments to Participants are subject to the express requirement that Participants submit to Sponsor all documentation requested by Sponsor to permit it to comply with all applicable United States, state, local and foreign (including provincial) tax reporting and withholding requirements. All grants will be net of any taxes Sponsor is required to withhold. All taxes imposed on prizes, other than those Sponsor is required to withhold, are the sole responsibility of the prize recipient. In order to receive a prize, Participants must submit the tax documentation requested by Sponsor or otherwise required by applicable law, to Sponsor or the relevant tax authority, all as determined by applicable law, including, where relevant, the law of the potential prize recipient's country of residence. Each Participant is responsible for ensuring that (s)he complies with all the applicable tax laws and filing requirements. If a Participant fails to provide such documentation or comply with such laws, the prize may be forfeited and Sponsor may, in its sole discretion, select an alternative prize recipient.
  13.  

  14. NOTIFICATION: Participants who are chosen as potential prize recipients will be notified by email on or January 16, 2012 unless otherwise determined by I-Cubed. Inability to contact a potential winner or the return of any prize notification as undeliverable will result in the prize being forfeited and Sponsor may, in its sole discretion, select an alternative prize recipient.
  15.  

  16. RELEASE: All Participants who are selected to receive a prize will be required to agree to the terms of an Affidavit of Eligibility, Liability and Publicity Release, and/or other documents required by any of the Sponsors prior to receiving a prize. If a team is selected as a potential prize recipient, all members of the team must agree to the terms of these agreements and must identify the individual that is to receive the prize. Failure to comply with this requirement or to submit any of these documents within the time period specified within the documents may mean that the Participant and team both have forfeited the applicable prize and Sponsor may, in its sole discretion, select an alternative Participant to receive the prize.
  17.  

  18. GENERAL CONDITIONS: Prizes are awarded without warranty of any kind from Sponsor express or implied, without limitation, except where this would be contrary to federal, state, provincial, or local laws or regulations. All federal, state, provincial and local laws and regulations apply. Submission of Entry into this Contest deems that Participants agree to be bound by the Terms and by the decisions of Sponsor and the Community and Expert Judges, which are final and binding on all matters pertaining to this Contest. Under no circumstances shall the submission of an Entry in the Contest, the awarding of a prize, or anything in the Terms be construed as an offer or contract of employment with any Sponsor. A Participant may be prohibited from participating in this Contest if, in Sponsor's sole discretion, it reasonably believes that the Participant has attempted to undermine the legitimate operation of the Contest by cheating, deception, or other unfair playing practices or annoys, abuses, threatens or harasses any other Participants, I-Cubed, Convertigo, the Community Judges, or the Expert Judges. Participants agree that Sponsor may independently develop applications that may be similar to or identical to your Entry in terms of theme, idea, function, or in other respects, and that they will not be entitled to any rights in, or compensation in connection with, any such similar or identical applications and/or ideas. Participants acknowledge that they have submitted their Entry voluntarily and not in confidence or in trust. Participants acknowledge that no confidential, fiduciary, agency or other relationship or implied-in-fact contract now exists between Participant and Sponsor and that no such relationship is established by submission of an Entry to Sponsor under the Terms. Participants acknowledge that Entries may be subject to United States export laws, regardless of location or nationality. Participants agree to comply with all applicable export controls, including, but not limited to, the United States Department of Commerce's Export Administration Regulations, sanctions programs administered by the United States Treasury Department's Office of Foreign Assets Control, and any export laws applicable in Participant's country of residence. Participants warrant that all Entries are authorized for export from the United States under these laws.
  19.  

  20. INTELLECTUAL PROPERTY RIGHTS: Except as otherwise set forth in the Terms, as between Sponsor and the Participant, the Participant retains ownership of all intellectual and industrial property rights in and to the Entry that Participant had before submission, including the right to distribute the application commercially. As a condition of entry, Participant grants Sponsor a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, commercialize, publicly perform, publicly display and create a derivative work from, any Entry that Participant submits to this contest for the purposes of allowing Sponsor to test and evaluate the Entry for purposes of the Contest, to administer the technical and other requirements of the Contest including distribution of the Entry to the Community and Expert Judges, and to advertise, display, demonstrate, or otherwise promote the Convertigo platform. Participant specifically agrees that Sponsor shall have the right to use, reproduce, publicly perform, and publicly display the Entry in connection with the advertising and promotion of the Convertigo platform via communication to the public or other groups, including, but not limited to, the right to make screenshots, animations and video clips available for promotional purposes. Participant also grants to the Community Judges and Expert Judges a limited, non-exclusive, and worldwide license to perform, display, and use the Entry on a mobile device. If Participant chooses, Participant may enable technical measures in their Entry to prevent use of the Entry by the Community and Expert Judges beyond a certain date provided that date is later than the date marking the end of the Contest. Participant may not charge a fee for the download of an Entry by the Community or Expert Judges.
  21.  

  22. PRIVACY AND PUBLICITY: Participants agree that personal data entered during the registration, including name, mailing address, phone number, and email address may be processed, stored, and otherwise used for the purposes and within the context of the Contest. This data will be maintained in accordance with the I-Cubed Privacy Policy found at http:/ /www.i-cubed.com/privacy-policy.html. By entering, Participants expressly agree to the transmission, processing, and storage of this personal data in the United States. By accepting a prize, participant agrees and consents to Sponsor's and its agencies' use of Participant's name and/or likeness to name the Participant for a reasonable time after completion of the Contest in promotional and advertising material of Sponsor (or its agents) as a winner of the Contest without additional compensation, unless prohibited by law. Participants also understand this data may be used by Sponsor in order to verify a Participant's identity, postal address, telephone number, and eligibility to receive a Prize in the event a Participant is chosen to potentially receive a Prize. Participants have the right to access, review, rectify or cancel any personal data held by Sponsor in connection with the Contest by writing to I-Cubed at the address listed above. If a Participant does not provide the data required at registration, that Participant's Entry will be ineligible.
  23.  

  24. WARRANTY AND INDEMNITY: Participants warrant that their Entries are original and that they are the sole and exclusive owner and rights holder of the submitted Entries and all included content, that no third parties will make any challenges or claims as to ownership or fraud, and that they have the right to submit the Entries in the Contest and grant all required licenses. Each Participant warrants that the Participant has not submitted any Entry that (1) infringes any third party proprietary rights, intellectual property rights, industrial property rights, personal or moral rights or any other rights, including without limitation, copyright, trademark, patent, trade secret or confidentiality obligations; or (2) otherwise violates applicable U.S. law or the law of the Participant's country of residence. To the maximum extent permitted by law, each Participant indemnifies and agrees to keep indemnified Sponsor at all times from and against any liability, claims, demands, losses, damages, costs and expenses resulting from any act, default or omission of the Participant and/ or a breach of any warranty set forth herein. To the maximum extent permitted by law, each Participant agrees to defend, indemnify and hold harmless Sponsor, and the Community and Expert Judges, their affiliates and their respective directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or accruing from (a) any material uploaded or otherwise provided by the Participant that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy, (b) any misrepresentation made by the Participant in connection with the Contest; (c) any non-compliance by the Participant with the Terms; and (d) claims brought by persons or entities other than the parties to the Terms arising from or related to the Participant's involvement with the Contest. To the extent permitted by law, Participant agrees to hold Sponsor and its respective directors, officers, employees and assigns harmless for any injury or damage caused or claimed to be caused by participation in the Contest and/or use or acceptance of any prize, except to the extent that any death or personal injury is caused by the sole negligence of Sponsor. Such indemnities described herein shall survive the termination or expiration of these Terms (and/or the Contest).

  26. ELIMINATION: Any false information provided within the context of the Contest by any Participant including information concerning identity, mailing address, telephone number, email address, or ownership of right, or non-compliance with the Terms, or the like may result in the immediate elimination of the Participant from the Contest. Sponsor further reserves the right to disqualify any Entry that it believes in its sole and unfettered discretion infringes upon or violates the rights of any third party, otherwise does not comply with the Terms, or violates U.S. or applicable local law in Participant's country of residence.

  28. NETWORKS: Sponsor is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission. Sponsor is not responsible for theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind. Sponsor is not responsible for inaccurate transmissions of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any Web site or any combination thereof, except to the extent that any death or personal injury is caused by the negligence of Sponsor. If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest. Sponsor further reserves the right to disqualify any Participant who tampers with the submission process or any other part of the Contest. Any attempt by a Participant to deliberately damage any Web site or undermine the legitimate operation of the Contest is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such Participant to the fullest extent of the applicable law.
  29.  

  30. FORUM AND RECOURSE TO JUDICIAL PROCEDURES: The Contest and the Terms shall be governed by, subject to, and construed in accordance with the laws of the State of North Carolina, United States of America, excluding all conflict of law rules. If any provision(s) of the Terms are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. To the extent permitted by law, the rights to litigate, seek injunctive relief or make any other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this Contest are hereby excluded, and all Participants expressly waive any and all such rights.
  31.  

  32. ARBITRATION: By entering the Contest, Participants agree that exclusive jurisdiction for any dispute, claim, or demand related in any way to the Contest will be decided by binding arbitration to be held in Wake County, North Carolina, under the rules of the American Arbitration Association. Any costs of arbitration shall be shared equally between Participant and Sponsor.
  33.  

  34. WINNER'S LIST: You may request a list of winners after January 23, 2012 by sending an email request to contests@i-cubed.com.
  35.  

  36. LIMITATION OF LIABILITY: NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ODDS OF WINNING WILL DEPEND ON THE TOTAL NUMBER OF ENTRIES RECEIVED. VOID WHERE PROHIBITED BY LAW. BY ENTERING THE CONTEST, PARTICIPANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED FIFTY DOLLARS ($50.00), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED FIFTY DOLLARS ($50.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) PARTICIPANTS' REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND PARTICIPANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

  38. MISCELLANEOUS: The invalidity or unenforceability of any provision of these Terms will not affect the validity or enforceability of any other provision. In the event that any provision of the Terms is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Terms will not constitute a waiver of that provision. When terms such as "may" are used in these Terms, Sponsor has sole and absolute discretion. Participants agree to waive any rights to claim ambiguity of these Terms. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. Each Participant, by its acceptance of these Terms, participation in the Contest, or submission of an Entry does hereby acknowledge that Participant may be exposed to confidential or proprietary information of a Sponsor. Each Participant agrees that it will not disclose any such confidential or proprietary information to any third parties without the consent of the applicable Sponsor. Participant herby agrees to indemnify, defend and hold harmless each Sponsor in connection with any breach of the foregoing (such indemnity herein shall survive the termination or expiration of these Terms (and/or the Contest)). Participant acknowledges that Sponsor may be entitled to injunctive or equitable relief in connection with the foregoing.
